Gaia User Terms of Service

Welcome to Gaia Workforce Management Cloud Software and Services for Time Management (hereinafter referred to as the “Services”)!
Notice that before using the Services, you must carefully read and comply with the Workforce Management Cloud Service Agreement (hereinafter referred to as “this Agreement”) and the Privacy Policy Terms. Please read each clause carefully and fully understand its content, especially those exempting or limiting liability, dispute resolution, and applicable law clauses. Clauses exempting or limiting liability may be displayed in bold font; you should pay particular attention to these.
Upon completing the enterprise code registration as prompted on the enterprise code page, reading and agreeing to this Agreement, and finishing all login procedures, you acknowledge that you have fully read, understood, and accepted all terms of this Agreement, which shall then become legally binding. You hereby commit to accepting and complying with the terms of this Agreement. You shall not subsequently claim this Agreement invalid or request its revocation on grounds such as not having read its contents or not receiving responses to your inquiries from Workforce Management Cloud.
- Scope of Agreement
This Agreement constitutes the contract between you and Workforce Management Cloud regarding your download, installation, use, and reproduction of this software, as well as your use of Workforce Management Cloud’s related services.
- Content and Effectiveness of the Agreement
- The content of this Agreement includes the main text of this Agreement and all privacy policies, rules, regulations, statements, notices, warnings, prompts, and explanations (hereinafter referred to as the “Rules”) that Workforce Management Cloud has published or may publish in the future. The aforementioned Rules constitute an integral part of this Agreement and have the same legal effect as the main text of the Agreement.
- Workforce Management Cloud reserves the right to formulate and amend this Agreement and related Rules as necessary. Revised agreements and rules shall immediately supersede and automatically take effect upon publication. Should you disagree with such changes, you must immediately cease using Workforce Management Cloud services. Continued use of Workforce Management Cloud services or engagement in any Workforce Management Cloud-related activities constitutes your acceptance of the revised Agreement and Rules.
- Service Content
- Workforce Management Cloud provides service software in various forms, including mobile clients (iOS and Android versions) and computer web interfaces (specific versions subject to Workforce Management Cloud’s provision). Workforce Management Cloud will continuously expand the terminals and formats available for your use of this service. If you have already used one form of the service, you may use other versions with the same account. This Agreement automatically applies to your use of all versions of the software and services.
- Workforce Management Cloud grants you a non-exclusive license to use the Workforce Management Cloud software. All rights not expressly granted herein or elsewhere in this Agreement remain reserved by Workforce Management Cloud. Exercising such reserved rights requires separate written permission from Workforce Management Cloud. Workforce Management Cloud’s failure to exercise any such right shall not constitute a waiver of that right.
- This service includes technical features such as Bluetooth attendance tracking, location-based attendance tracking, QR code attendance scanning, form submissions, and scheduling. These functionalities may be optimized or modified based on user demand changes, differing service versions, or the sole discretion of the service provider. They may also be temporarily suspended due to scheduled or unscheduled maintenance.
- Workforce Management Cloud reserves the right to modify, upgrade, alter, or transfer the Service or any part thereof, including related features and application software, at its sole discretion at any time. You agree that Workforce Management Cloud shall not be required to provide notice for such actions and shall not be liable to you or any third party.
- Account Management
- Workforce Management Cloud accounts operate on an invitation-only basis. Upon your company’s adoption of Workforce Management Cloud services, Workforce Management Cloud will provide you with a unique login account based on verifiable identity information submitted to the enterprise. You confirm that upon completing the submission of your enterprise code and logging in or otherwise actually using the services through methods permitted by Workforce Management Cloud, you must be a natural person, legal entity, or other organization possessing full civil rights capacity and the corresponding capacity for civil conduct commensurate with the civil acts Ifyou lack the aforementioned legal capacity, do not use the service. Otherwise, you and your legal guardian shall bear all consequences arising therefrom, and Workforce Management Cloud reserves the right to terminate (permanently freeze) your account and seek compensation from you and your legal guardian. If you register on behalf of a company or other legal entity, or use the service in any other manner permitted by Workforce Management Cloud, you hereby declare and warrant that you have the authority to bind such company or legal entity to the terms of this Agreement.
- You acknowledge and agree that ownership of all accounts used on Workforce Management Cloud (including client accounts and service management accounts) belongs to Workforce Management Cloud. You are granted only the right to use such accounts. The right to use Workforce Management Cloud accounts is exclusively granted to the initial applicant and may not be transferred or provided to others in any manner. Otherwise, Workforce Management Cloud reserves the right to immediately revoke the account without notice. You shall bear all losses arising from the deletion or loss of data, information, or other content generated through your use of the Service.
- After you enter your enterprise code, the Workforce Management Cloud will verify your identity based on your account and password. You must safeguard your device, account, and password. You bear full responsibility for all activities conducted using this account and password (including but not limited to online clicks to agree or submit various rules/agreements, purchasing services, mobile attendance tracking, and form submissions). You agree to immediately notify Workforce Management Cloud of any unauthorized use of your password or account, or any other security breach. You acknowledge and agree that Workforce Management Cloud shall not be liable for any direct or indirect loss or damage arising from such circumstances. Your account and password may not be transferred, gifted, or inherited in any manner (except for property rights associated with the account).
- After Workforce Management Cloud recovers or cancels an account pursuant to this Agreement, it reserves the right to independently handle all account-related content and information, including but not limited to deletion, without incurring any liability to the user.
- Service Usage Guidelines
- The user fully understands and agrees that Workforce Management Cloud only provides a service platform. You shall bear sole responsibility for all actions and consequences arising from your use of the service. Accordingly, you should be aware that using Workforce Management Cloud services may expose you to risks from others’ illegal or improper actions (or information). You shall exercise your own judgment and take action at your own risk.
- You shall bear all costs incurred from using the services, including but not limited to internet data charges and communication service fees.
- Unless otherwise specified, the services under this Agreement are for non-commercial use only. You agree not to reproduce, copy, sell, resell, or use any part of the service, or the use or access to the service, for advertising or any other commercial purposes.
- You agree not to use the Service for any illegal or improper activities, including but not limited to the following:
- Uploading, transmitting, or sharing information containing any of the following:
- Opposing the fundamental principles established by the Constitution;
- Endangering national security, disclosing state secrets, subverting state power, or undermining national unity;
- Damaging the honor and interests of the state;
- inciting ethnic hatred, ethnic discrimination, or undermining ethnic unity;
- undermining state religious policies, promoting cults, or advocating feudal superstitions;
- Spreading rumors, disrupting social order, or undermining social stability;
- Disseminating obscene, pornographic, gambling, violent, murderous, terrorist content, or inciting criminal activities;
- Insulting or defaming others, infringing upon the lawful rights of others;
- Contains false, fraudulent, harmful, coercive, privacy-invading, harassing, defamatory, vulgar, obscene, or other morally objectionable content;
- Contains other content restricted or prohibited by Chinese laws, regulations, rules, ordinances, or any other legally binding norms;
- Impersonating any person or entity, or falsely stating or misrepresenting an affiliation with any person or entity;
- Forging headers or otherwise manipulating identifying information to mislead others into believing the content was transmitted by Workforce Management Cloud or its affiliates;
- Uploading, transmitting, or sharing any content known pursuant to any legal or contractual relationship or statutory obligation (e.g., internal, proprietary, or confidential information obtained or disclosed due to an employment relationship or under a confidentiality agreement) without authorization to transmit such content;
- Uploading, transmitting, or sharing content suspected of infringing upon others’ rights (including but not limited to copyrights, patents, trademarks, trade secrets, and other intellectual property rights);
- Track or otherwise harass others;
- Upload, transmit, or share any advertisements, promotional materials, marketing content, “spam,” “junk mail,” “chain letters,” “direct mail,” or any other form of solicitation on,except in designated areas or features specifically intended for such purposes;
- As this service primarily provides workforce management cloud solutions for your business, you may not use it in critical sectors including but not limited to nuclear facilities, military operations, medical facilities, transportation, or communications. Workforce Management Cloud shall not be liable for any personal injury, property damage, or environmental harm resulting from operational failures attributable to the software or service;
- Engaging in any activities beyond the scope of normal internal or external communication and information exchange between friends or users.
- Forming friend relationships with other users through any means—including but not limited to adding friends oneself or inducing others to add friends—for purposes beyond normal internal or external communication and interaction between friends or users (including but not limited to sending advertisements, spam, harassment, or illegal/non-compliant information). Friend relationships include but are not limited to one-way and two-way friend relationships (same below);
- Sending large volumes of messages to friends or other users through this service;
- Violating the “Seven Bottom Lines” requirements, including compliance with laws and regulations, adherence to the socialist system, safeguarding national interests, protecting citizens’ lawful interests, maintaining public order, upholding social morality and ethical standards, and ensuring information authenticity;
- Engaging in any activities that violate Chinese laws, regulations, rules, policies, or normative documents.
- You agree not to engage in the following activities with this software and service:
- Uploading, posting, emailing, or otherwise transmitting software viruses or other computer code, files, or programs designed to interfere with, damage, or restrict the functionality of any computer software, hardware, or communication equipment;
- Interfere with or disrupt the Service or servers and networks connected to the Service, or violate any rules, procedures, policies, or specifications of networks connected to the Service;
- Modifying or forging instructions or data during software operation to add, delete, or alter software functions or operational effects; or operating or publicly disseminating software or methods for such purposes, regardless of commercial intent;
- Logging into or using the software and services through third-party software, plug-ins, add-ons, or systems not developed or authorized by Workforce Management Cloud, or creating, publishing, or disseminating such tools;
- Interfering with the Software and its components, modules, data, etc., either independently, by authorizing others, or by utilizing third-party software.
- You agree to strictly comply with this Agreement (including the rules stated in Article 1 of this Agreement) when using Workforce Management Cloud services.
- You agree and accept that Workforce Management Cloud is not obligated to monitor the materials and information you upload, transmit, or share at all times. However, Workforce Management Cloud reserves the right to review, supervise, and take appropriate actions regarding your use of the services, including but not limited to deleting information, suspending or terminating services, and reporting to relevant authorities.
- You agree not to use this service in any manner that infringes upon the commercial interests of the Workforce Management Cloud, or to engage in any activity that may cause harm or disadvantage to the Workforce Management Cloud.
- You acknowledge and agree that during the provision of the Workforce Management Cloud service, Workforce Management Cloud, its affiliates, or its authorized entities and individuals may place various commercial advertisements or promotional information of any type through various means. You also agree to receive such advertisements or promotional information via email or other methods.
- If you apply for a service management account, you shall independently add and manage members through the account and bear sole responsibility for the actions of managed members. Any adjustments to member services made by Workforce Management Cloud based on the activities of your service management account shall also be your responsibility. Should such actions cause losses to Workforce Management Cloud or others, you shall compensate accordingly.
- You fully understand and agree that you are solely responsible for all actions taken under your registered account, including any content you publish and any resulting consequences. You shall independently assess the content encountered while using this service and bear all risks arising from such use, including risks stemming from reliance on the content’s accuracy, completeness, or usefulness. Workforce Management Cloud cannot and will not be liable for any losses or damages resulting from the aforementioned risks.
- If Workforce Management Cloud discovers or receives reports that you have violated the terms of this Agreement, Workforce Management Cloud reserves the right to delete or block the relevant content at any time without prior notice. Workforce Management Cloud may also take measures including but not limited to revoking your account, restricting, suspending, or terminating your access to part or all of the Service, and pursuing legal remedies.
- Service Fees
- Any free trial or complimentary features/services provided herein shall not be construed as Workforce Management Cloud waiving its right to charge fees subsequently. Workforce Management Cloud reserves the right to notify you of its fee schedule via public announcement 7 days in advance. Continued use of the service shall require payment according to the published fee schedule.
- All fees must be paid in advance via payment methods accepted by Workforce Management Cloud. The aforementioned usage fees do not include any other taxes, fees, or related remittance expenses. Should such additional costs arise, you shall either make up the payment or bear these expenses yourself.
- Workforce Management Cloud reserves the right to unilaterally adjust fee standards and payment methods based on actual circumstances with 7 days’ advance notice via public announcement, without requiring your prior consent. If you disagree with the fees, you must immediately cease using the service. Continued use shall be deemed as your acceptance and obligation to pay the fees.
- You shall bear all internet access fees and other third-party communication or information charges incurred through using this service.
- Special Authorization
- If you make any commitment to a Workforce Management Cloud affiliate company and such company confirms your breach of that commitment, Workforce Management Cloud reserves the right to immediately impose restrictions on your account in accordance with the agreed-upon method in your commitment. These restrictions may include, but are not limited to, suspending or terminating service provision to you, and publicly disclosing the breach confirmed by the relevant company. You acknowledge and agree that Workforce Management Cloud is not required to verify the facts with you or obtain your separate consent regarding such confirmation, and Workforce Management Cloud shall not bear any liability to you for these restrictive measures or public disclosure actions.
- Should you breach this Agreement or any other agreement entered into with Workforce Management Cloud, Workforce Management Cloud reserves the right to notify its affiliated companies in any manner and request them to impose restrictions on your rights and interests. Such restrictions may include, but are not limited to, suspending or terminating the provision of some or all services to you, and publicly disclosing your breach of contract on any website operated or under its actual control.
- Third-Party Applications
- Mobile Attendance permits third-party applications to access the service platform, enabling you to directly obtain third-party application services through Mobile Attendance, including but not limited to OA software. You acknowledge and agree that Mobile Attendance acts solely as a platform provider, with relevant applications independently provided by such third parties. Mobile Attendance assumes no liability for your use of such applications.
- You acknowledge and agree that Mobile Attendance shall bear no liability if adjustments, suspensions, or terminations to the service or any part thereof affect third-party application services.
- Service Suspension or Termination
- You agree that, given the unique nature of internet services, Workforce Management Cloud reserves the right to suspend, terminate, or cause the suspension or termination of the service or any part thereof at any time. Workforce Management Cloud is not required to notify you regarding the suspension or termination of free services.
- You acknowledge and agree that Workforce Management Cloud may periodically or irregularly perform maintenance or repairs on the platform equipment, facilities, and software/hardware used to provide network services. Workforce Management Cloud shall not be liable for any suspension of paid services within a reasonable timeframe resulting from such circumstances, but shall endeavor to provide advance notice where possible.
- Workforce Management Cloud may immediately suspend or terminate services to users and seek compensation for damages if any of the following breaches occur:
- The user violates the account management obligations stipulated in Article 4;
- The user fails to pay the corresponding service fees as required when using paid network services;
- The user violates the service usage regulations stipulated in Article 5.
- Privacy Policy
- The account you register with the Workforce Management Cloud service is password-protected to ensure the security of your basic information. Please safeguard your account and password information.
- Workforce Management Cloud strives to implement various reasonable physical, electronic, and managerial security measures to protect your information, ensuring that the information and communications you store within Workforce Management Cloud are not disclosed, destroyed, or lost. These measures include, but are not limited to, SSL, encrypted data storage, and data center access controls. We also implement strict management for employees or contractors who may access information on,including but not limited to: implementing role-based access controls, executing confidentiality agreements with them, and monitoring their operational activities. Workforce Management Cloud will provide corresponding security measures based on current technology to protect your information and offer reasonable security safeguards. Workforce Management Cloud will always strive to prevent your information from being leaked, destroyed, or lost.
- Workforce Management Cloud reserves the right to independently determine the maximum storage period for your data within this software and service, as well as the maximum storage space on its servers, based on actual circumstances. You shall safeguard your terminals, accounts, and passwords, and properly preserve related information and content. Workforce Management Cloud shall not be liable for data loss or theft resulting from your own actions, nor for the deletion or storage failure of relevant data within this software and service.

- Intellectual Property Rights
- You acknowledge and agree that, unless otherwise stated by Workforce Management Cloud, all intellectual property rights (including but not limited to copyrights, trademark rights, patent rights, trade secrets, etc.) and related rights pertaining to all products, technologies, software, programs, data, and other information (including but not limited to text, images, pictures, photographs, audio, video, charts, colors, layout designs, and electronic documents) contained in the services under this Agreement belong to Workforce Management Cloud or its affiliated companies.
- You warrant that, unless expressly authorized in writing by Workforce Management Cloud, you shall not (and shall not permit any third party to) engage in any of the following acts with respect to the aforementioned rights: renting, lending, selling, distributing, copying, modifying, reprinting, compiling, publishing, reverse engineering, disassembling, decompiling, or otherwise discovering the source code.
- The logos, “Workforce Management Cloud,” “Workforce Management Cloud Pro,” and other text, graphics, and their combinations, as well as other Workforce Management Cloud identifiers, insignia, product and service names, are trademarks of Workforce Management Cloud and its affiliates in China and other countries. Users may not display, use, or otherwise handle these in any manner without Workforce Management Cloud’s written authorization, nor may they represent to others that they have the right to display, use, or otherwise handle them.
- Limited Liability
- Services are provided “as is” and “as available.” Workforce Management Cloud hereby expressly disclaims all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, reliability, continuity, freedom from errors or omissions, or any other warranties, representations, or undertakings.
- Workforce Management Cloud makes no commitment or guaranteesregarding the validity, accuracy, correctness, reliability, quality, stability, completeness, or timeliness of the technology and information involved in the Services.
- Under no circumstances shall Workforce Management Cloud be liable for any failure or delay in providing the Services due to Internet connection failures, computer or communication or other system failures, power outages, strikes, labor disputes, riots, insurrections, disturbances, shortages of productivity or production resources, fires, floods, storms, explosions, acts of God, wars, governmental actions, orders of international or domestic courts, or omissions by third parties.
- Regardless of foreseeability or form of action, Workforce Management Cloud shall not be liable for any special, direct, indirect, punitive, incidental, or consequential damages, or any other damages whatsoever (including but not limited to loss of profits or interest, business interruption, or data loss) arising from:
- Use or inability to use the Services;
- Costs incurred through the purchase or acquisition of any products, samples, data, information, or transactions via the Services, or any alternative actions substituting for the foregoing;
- Unauthorized access to or alteration of data or data transmission;
- Statements or actions made by third parties through the Services;
- Damages arising from other events related to the Services, including negligence.
- You fully understand and agree that, given the unique nature of the internet system and environment, information and personal data you share through the Services may be copied, republished, altered, or used for other illegal purposes by others. You hereby acknowledge the existence of such risks and confirm that these risks shall be borne solely by you. Workforce Management Cloud shall not be liable for any such risks.
- You acknowledge and agree that during the use of the Services, there may be risks of encountering threatening, defamatory, offensive, or illegal content or conduct from any third party, or infringements upon the rights of others (including intellectual property rights), as well as anonymous or impersonated information. Based on the Service Usage Guidelines, such risks shall be borne solely by you, and Workforce Management Cloud shall not be liable for any such risks.
- Breach of Contract Liability and Compensation
- If Workforce Management Cloud discovers or receives reports from others that you have violated the terms of this Agreement, Workforce Management Cloud reserves the right to delete or block such content at any time without prior notice. Workforce Management Cloud may also take measures including but not limited to restricting, suspending, or terminating your access to your Workforce Management Cloud account and services; restricting, suspending, or terminating your access to part or all of the Services (including but not limited to terminating affiliations with groups or members, deleting contact lists, restricting member additions, limiting message sending, or prohibiting friend requests); and pursuing legal remedies.
- You agree that if any third party makes any claim or demand against Workforce Management Cloud or its affiliates arising from or related to information you upload, transmit, or share through the Service, your use of other Service features, your violation of this Agreement, or your infringement of any third party’s rights, or if Workforce Management Cloud or its affiliates incur any losses as a result, you shall fully compensate them (including but not limited to reasonable attorneys’ fees).
- Valid Notices
- Any notice issued by Workforce Management Cloud to you may be delivered via email, public announcements on the Service’s pages, notifications in your personal network area, SMS messages, or regular mail. Such notices shall be deemed delivered to or effective for the user on the date of dispatch.
- You agree that any notice you send to Workforce Management Cloud shall be delivered to the email address, mailing address, fax number, or other contact information officially published by Workforce Management Cloud or communicated to users as described in Section 12.1, or delivered using other notification methods approved by Workforce Management Cloud.
- Dispute Resolution and Other Matters
- The interpretation and application of this Agreement, as well as any disputes arising from or related to this Agreement, shall be governed by the laws of the People’s Republic of China. The court of first instance shall be located in the jurisdiction where Workforce Management Cloud is based.
- If any provision of this Agreement is deemed invalid or unenforceable, such provision shall be severable, and the remaining provisions shall remain in full force and effect.
- Workforce Management Cloud’s waiver of any rights under this Agreement due to a user’s negligence or breach shall not be deemed a waiver of rights against the user for other or subsequent similar acts of negligence or breach.
- This Agreement supersedes all prior oral and written agreements, arrangements, understandings, and communications between the parties regarding any matter covered herein.
- Workforce Management Cloud reserves the right to transfer all rights and obligations under this Agreement to its affiliated companies in accordance with business adjustments. Such transfers shall be notified in the manner specified herein, and the User agrees not to object thereto.
